Terms of Service

Please read these terms carefully before using ClinicalRIS

Terms Summary

  • We provide 99.9% uptime SLA for Professional and Enterprise plans
  • All clinical decisions remain the responsibility of licensed healthcare providers
  • You can export your data in standard formats (DICOM, HL7, FHIR) at any time
  • Either party may terminate with 30 days written notice

1. Acceptance of Terms

ClinicalRIS is a product of Claridad Health Solutions ("Claridad"). By accessing or using ClinicalRIS ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

ClinicalRIS is a cloud-based radiology information system that provides:

  • Patient and study management
  • Radiology worklist and reporting
  • PACS integration and DICOM image storage
  • FHIR R4 and HL7 interoperability
  • Billing and claims management
  • AI-assisted diagnostic tools integration

3. User Accounts

3.1 Account Creation

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Account Security

You must immediately notify us of any unauthorized use of your account. We recommend enabling multi-factor authentication (MFA) for enhanced security.

3.3 User Types

The Service supports multiple user roles including Super Administrators, Center Administrators, Radiologists, Technologists, Referring Physicians, Billing Staff, and Front Desk Clerks. Each role has specific permissions and responsibilities.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Access or attempt to access accounts not belonging to you
  • Interfere with or disrupt the Service infrastructure
  • Upload malicious code or content
  • Share login credentials with unauthorized persons
  • Violate HIPAA or other healthcare privacy regulations
  • Export or scrape data without authorization

5. Healthcare Compliance

5.1 HIPAA

ClinicalRIS is designed to be HIPAA compliant. We will enter into a Business Associate Agreement (BAA) with covered entities as required by law.

5.2 Medical Disclaimer

IMPORTANT: ClinicalRIS is a tool to assist healthcare professionals. All clinical decisions remain the sole responsibility of licensed healthcare providers.

AI-assisted features, including automated measurements and AI-generated findings, are supplementary aids and do not replace professional medical judgment. Users must independently verify all AI-generated suggestions before including them in final reports. The Service does not provide medical advice, diagnosis, or treatment recommendations.

5.3 Audit Trails

The Service maintains comprehensive audit trails of all user actions as required by healthcare regulations. These logs are retained for a minimum of 7 years.

6. Data Ownership and Storage

6.1 Your Data

You retain ownership of all patient data, medical records, and imaging studies stored in the Service. We do not claim any ownership rights over your data.

6.2 Data Portability

You may export your data at any time in standard formats (DICOM, HL7, FHIR). We provide tools and APIs to facilitate data migration.

6.3 Data Retention

Medical records are retained according to applicable state and federal regulations. Upon account termination, we will provide a reasonable period to export your data.

7. Service Level Agreement

For Professional and Enterprise plans, we guarantee:

  • 99.9% uptime for the core platform
  • Response time of 4 hours for critical issues
  • Regular backups with point-in-time recovery
  • Disaster recovery with RPO of 1 hour and RTO of 4 hours

8. Payment Terms

8.1 Billing

Subscription fees are billed monthly or annually in advance. We accept major credit cards, ACH transfers, and wire transfers.

8.2 Refunds

Annual subscriptions may be refunded within 30 days of purchase if you are not satisfied. Monthly subscriptions are non-refundable.

8.3 Price Changes

We will provide at least 30 days notice before any price increases. Existing annual contracts will not be affected until renewal.

9. Intellectual Property

ClinicalRIS, its logo, and all software, designs, and documentation are the property of Claridad Health Solution and are protected by intellectual property laws. You are granted a limited, non-exclusive license to use the Service according to your subscription.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINICALRIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ClinicalRIS from any claims arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate the agreement with 30 days written notice. We may suspend or terminate your access immediately for:

  • Violation of these terms
  • Non-payment of fees
  • Activities that threaten the security of the Service
  • Violation of healthcare regulations

13. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days in advance. Continued use of the Service after changes constitutes acceptance of the new terms.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, both parties agree to attempt informal resolution by contacting the other party's designated representative. We will respond to disputes within 15 business days.

15.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration Rules. The arbitration shall take place in San Francisco, California. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

16. Third-Party Services and Integrations

The Service may integrate with third-party systems including:

  • PACS systems (Orthanc, DCM4CHEE, Horos, etc.)
  • EHR/EMR systems via HL7 and FHIR
  • Billing and clearinghouse services
  • AI analysis providers
  • Cloud storage providers

Third-party services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

17. API Usage

If you access our Service via API, you additionally agree to:

  • Comply with all rate limits and usage quotas
  • Keep API keys and credentials confidential
  • Not use the API to create competitive products
  • Display appropriate attribution where required
  • Update integrations when API versions are deprecated

18. Beta Features

We may offer beta or preview features that are not yet generally available. Beta features are provided "AS IS" without any warranty or SLA. We may modify or discontinue beta features at any time without notice. Your use of beta features is at your own risk and should not be used for production clinical workflows without explicit approval.

19. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations. You may not use the Service in any country subject to U.S. sanctions or if you are on any U.S. government restricted parties list.

20. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, civil unrest, government actions, internet or utility outages, pandemics, or cyberattacks by nation-state actors.

21. Entire Agreement

These Terms, together with our Privacy Policy, Business Associate Agreement (if applicable), and any Order Forms, constitute the entire agreement between you and ClinicalRIS. These Terms supersede all prior agreements, proposals, or representations regarding the Service.

22. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
